These Terms of Use (“Terms”) govern your access and use of the Bizlr platform, applications, and related services (“Services”). By using our Services, you agree to these Terms. If you do not agree, you must not use our Services.

1. Eligibility

  • You must be a registered business in Nigeria with valid CAC registration and TIN to use our Services.
  • You must be at least 18 years of age to register and act on behalf of your company.

2. Our Services

We provide technology solutions to help businesses manage:

  1. Virtual accounts for financial inflows and outflows (via licensed banking partners).
  2. Payroll automation, including salary disbursement.
  3. Personal Income Tax (PIT) deduction and remittance support.
  4. Pension and insurance compliance processing.
  5. Company Income Tax (CIT) advisory and consulting only (we do not remit CIT directly).

3. Your Responsibilities

As a user, you agree to:

  • Provide accurate and up-to-date information during onboarding (business and employee details).
  • Maintain the confidentiality of your account credentials.
  • Ensure compliance with applicable laws, including tax, pension, and employment regulations.
  • Obtain employee consent where required before sharing their data.
  • Remit all statutory payments to relevant authorities (we facilitate but do not assume liability).

4. Prohibited Uses

You may not:

  • Use our Services for unlawful, fraudulent, or abusive purposes.
  • Provide false or misleading information.
  • Attempt to gain unauthorized access to our platform or partner systems.
  • Interfere with or disrupt the security, availability, or integrity of our Services.

5. Third-Party Services

  • We integrate with licensed financial institutions, state IRS systems, and pension/insurance companies.
  • We are not responsible for errors, delays, or failures caused by third-party service providers.
  • Your use of third-party services is subject to their terms and conditions.

6. Data Protection & Privacy

  • We collect and process personal and business information as described in our Privacy Policy.
  • BVN and NIN are collected only for verification and virtual account creation; they are not stored on our servers.
  • All data is encrypted in transit and at rest.
  • By using our Services, you consent to our data handling practices.

7. Fees & Payments

  • Some Services may attract subscription fees, processing charges, or transaction fees.
  • Fees will be communicated clearly before billing.
  • Payments are non-refundable unless required by law.

8. Disclaimers

  • We are a technology platform, not a bank, financial institution, or tax authority.
  • We do not provide loans, credit facilities, or assume tax liabilities on your behalf.
  • We provide best-effort compliance support but do not guarantee acceptance by tax authorities or regulators.

9. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages (including loss of profits, tax penalties, or missed filings).
  • Our total liability for any claim shall not exceed the total fees you paid us in the 6 months preceding the claim.

10. Indemnity

You agree to indemnify and hold harmless Bizlr Technologies Limited, its affiliates, directors, employees, and partners from any claims, damages, or penalties arising from your use of our Services, including but not limited to tax remittance errors caused by inaccurate data provided by you.

11. Intellectual Property

  • All content, trademarks, and technology on our platform are the property of Bizlr Technologies Limited or our licensors.
  • You may not copy, distribute, or reverse-engineer our platform without prior written consent.

12. Termination

  • You may terminate your account at any time by contacting us.
  • We may suspend or terminate your account if you violate these Terms or use our Services unlawfully.
  • Upon termination, your access to the Services will cease, but we may retain records as required by law.

13. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the Federal Republic of Nigeria.

  • Any disputes shall be resolved amicably; if unresolved, disputes will be referred to arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act.

14. Amendments

We may update these Terms from time to time. Updates will be posted on our platform and take effect upon posting. Continued use of the Services means you accept the updated Terms.
